Parties
1. AUTOMOTION EVENTS LTD a company incorporated and registered in England and Wales under company number 12012168 and whose registered office is at Warner House, 123 Castle Street, Salisbury SP1 3UD. (‘the Organiser’); and
2. The owner named on the booking confirmation, known as the “Exhibitor”
each of the Organiser and the Exhibitor are a “party”, and together being “parties”, to this agreement.
1. Definitions.
In these Terms and Conditions, the following terms have these meanings, unless the context requires otherwise:
a. “Agreement” means the binding contract made by the Supplier and the Organiser, confirmed by signing this agreement;
b. Booking confirmation means the details on page 1 of this document
c. “Cause Event” means any event or circumstance, not within the Organiser’s reasonable control including, without limitation, acts of God, terrorist attack, war, civil commotion, fire, national emergency, explosion, strike or lockout and defect in the Venue building;
d. “Confirmation” means the written confirmation that the Organiser shall send to the Supplier to confirm their booking for Stand Space;
e. “Event” means The British Motor Show from the 20th to 23rd August 2020.;
f. “Supplier” means any person, firm or company named in the Booking Form that is allocated a Stand Space by the Organiser for the purpose of exhibiting at the Event;
g. “Hours” means the opening hours of the Event which are as follows:
I.Thursday 19th August 2021 10:00 – 18:00.
II.Friday 20th August 2021, 10:00 – 18:00.
III.Saturday 21st August 2021 10:00 – 18:00.
IV.Sunday 22nd August 2021 10:00 – 17:00.
h. “Organiser” means Automotion Events Ltd including its directors, employees, staff, agents, consultants, contractors and sub-contractors;
i. “Stand Space ” means the Stand Space as outlined in clause 2 of this agreement and allocated by the Organiser;
j. “Terms” means these Terms and Conditions;
k. “Venue” means the venue at which the Event is to take place being Farnborough International Exhibition Centre.
2. Services
The Organiser and exhibitor shall provide the services in accordance with the terms of this agreement (the “Organisers Services”)
3. Promotion and Marketing of the Event.
The Organiser shall be entitled to use and reproduce the Exhibitor’s name, trademark and logo in connection with the promotion and production of the Event whilst adhering to the brand guidelines set by the Exhibitor. Likewise, the Exhibitor may use the Event logo whilst adhering to the brand guidelines set by the Organiser.
4. Space.
a. Space will be allocated as outlined in clause 2 of this agreement.
b. Stand Space will be allocated on a ‘first-come – first-served basis.
c. Acting reasonably the Organiser reserves the right to alter, at any time, the size, shape or location of the Exhibitor’s Space as may be necessary for the best interests of the Event.
d. The Organiser reserves the right to refuse any application for Space or prohibit any use of a Space.
5. Occupation of Space.
a. If the Exhibitor fails to take possession of its allocated Space by Wednesday 19th August 2020, the Organiser reserves the right to re-allocate or otherwise deal with Space as they so choose.
b. If the Exhibitor fails to remove any of its property or vacate the Venue by 12:00 Monday 24th August 2020 due to any cause whatsoever, the Exhibitor shall be fully responsible for any penalties imposed by the Venue, or any other losses and costs incurred by the Organiser. The Organiser may remove any property of the Exhibitor left in the Venue by the Exhibitor after the said time and the costs of such removal shall be paid by the Exhibitor to the Organiser on demand.
6. Exhibitor’s Conduct.
a. The Exhibitor is responsible to the Organiser for ensuring that its Space is maintained in a clean and orderly state during the Hours of the Event.
b. The Exhibitor agrees to:
i. comply with all rules and regulations applying to the Venue, including the Venue’s terms and conditions of entry; conduct itself in a professional and courteous manner to the Organiser, other exhibitors, sponsors and the general public;
ii. give effect to any reasonable request or direction from the Organiser;
iii. ensure that all electrical equipment used is tested and certified to be in proper working order by a qualified electrician;
iv. allow the Organiser to record, broadcast or take photographs or video of the Space as part of the recording or broadcasting of the Event.
c. The Exhibitor (and each of its representatives, as appropriate) shall not:
i. anywhere within the Venue promote its participation in any other event without the prior written consent of the Organiser;
ii. bring into or distribute alcoholic drinks or food at the Event, unless specifically allowed by the Venue or Organiser;
iii. operate games of chance or lottery devices unless specifically allowed by the Organiser;
iv. use such devices that interfere with the use and enjoyment of any other stand space;
v. use any flammable materials unless fireproofed;
7. Organiser Rights.
a. The Organiser reserves the right to exclude or remove any Exhibitor or any of its employees, agents or representatives from the Event if they do not comply with any of these Terms.
b. The Organiser may remove any item or thing from the Venue that does not comply with these Terms or is considered unsafe.
c. The Organiser reserves the right to have finished any unfinished item in the Stand Space and charge the Exhibitor for the expense incurred.
8. Insurance and Indemnity.
a. The Organiser is not responsible for any theft or loss of or damage to property or any other claims, losses or costs in respect of any property brought into the Venue by the Exhibitor.
b. The Exhibitor agrees to insure for their full replacement value the contents of all exhibits and all other property brought into the Venue.
c. The Exhibitor shall have no claim against the Organiser in respect of any loss or damage consequential upon the prevention, postponement, abandonment or cancellation of the Event, or the Venue becoming wholly or partially unavailable for the holding of the Event if due to a Cause Event.
9. Termination
a. Either party may terminate this agreement with immediate effect without notice and without any liability to pay any remuneration, compensation or damages if at any time the other party is (or any of its officers are) found guilty of gross misconduct affecting the business of the other party; or
b. the Exhibitor makes a resolution for its winding up or makes an application to a court of competent jurisdiction for protection from its creditors or an administration or winding-up order is made or an administrator or receiver is appointed in relation to the Company.
10. Each party acknowledges and agrees that:
a. this agreement, together with any documents referred to in it, constitutes the entire agreement and understanding between the Organiser and the Exhibitor and supersedes any previous agreement between them relating to these Services;
b. in entering into this agreement neither party has relied on any Pre-Contractual Statement; and
c. nothing in this agreement shall, however, operate to limit or exclude any liability of either party for fraud or fraudulent misrepresentation.
11. Variation
No variation of this agreement or of any of the documents referred to in it shall be valid unless it is in writing and signed by or on behalf of each of the parties.
12. Governing law and jurisdiction
these Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed exclusively by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree to submit to the exclusive jurisdiction of the courts of England and Wales over any claim or matter arising out of or in connection with this Agreement and its subject matter counterpart
